Paid B2B evaluation terms.

These are the current customer terms for the paid simulation-only B2B release. Checkout remains held and creates no payment obligation until a published activation notice names the dedicated Workcell Stripe, seller/tax, and managed-AI provider checkpoints. Obtain qualified legal and tax advice before enabling payment.

1. Seller and scope

The seller/publisher is Denis Miclea, an individual developer in Quebec, Canada. These terms do not assert a company, corporate address, DUNS number, tax identifier, or other unverified identity. The product is a versioned desktop engineering application and, only when separately enabled, a Workcell-managed AI planning service.

2. Eligibility and territory

Initial self-service is intended for business customers in Canada and the United States. The customer represents that it has authority to bind the business and will use the product only for lawful internal engineering evaluation. Other territories require a qualification conversation and may remain on a waitlist.

3. Simulation-only boundary

The product creates and checks simulated workcell projects. It must not control or connect to a physical robot, PLC, controller, production line, or safety function. Simulation is not safety certification, controller equivalence, commissioning approval, or proof of physical-cell performance. The customer is responsible for its own engineering, legal, export, security, and physical validation.

4. License and customer material

After a valid activation, the customer receives a limited, non-exclusive, non-transferable right for authorised users to use the specified plan during its paid term. The customer retains its project material and must protect credentials and confidential information. Upstream and third-party notices shipped with a release remain applicable.

5. AI and data

Any hosted planning capability is Workcell-managed only; BYOK and customer endpoints are not supported. The user must see and approve a bounded proposal before applying it. Provider, region, retention, deletion, training, and entitlement behavior must be published in the release notice before this feature is offered.

6. Price, payment, and taxes

Prices are shown on the plans page in USD per workspace/month: $199 Pilot, $499 Team, and $999 Site. They are the target paid-release prices; checkout remains held until the dedicated Workcell Stripe, seller/tax, and managed-AI provider checkpoints are published. No tax ID or unverified company identity is invented.

7. Support and availability

General support is routed through GitHub Issues and private vulnerability reporting when enabled. No uptime, response-time, compatibility, or compliance certification is promised by this draft. Security reports should follow the security page.

8. Suspension and termination

Use may be suspended for misuse, security risk, unlawful activity, or a breach of these terms. A customer should retain its project and evidence copies before an update or termination. No suspension may authorise physical control or access to another party's system.

9. Refunds and cancellation

There are no current charges to refund while checkout is held. Once activated, the refund and cancellation notice, mandatory statutory rights, and written activation record govern. See refunds and cancellation.

10. Changes and governing review

These terms must be expressly accepted at paid activation. They are not legal advice; the customer should obtain its own advice and confirm a final contract, privacy schedule, and tax treatment.
